By downloading, installing, or using SpinDine (“the App”), you agree to be bound by these Terms of Service (“Terms”).
If you do not agree to these Terms, do not use the App.

These Terms constitute a legal agreement between you and Silex Research (“Company,” “we,” “us,” or “our”).

2. License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use SpinDine for personal, non-commercial purposes.

You may not:

Copy, modify, or distribute the App
Reverse-engineer or attempt to extract source code
Use the App for any illegal purpose
Violate any applicable laws or regulations
Attempt to interfere with the App’s functionality

3. User Accounts

Account Responsibility

You are responsible for maintaining account security.
You must provide accurate information.
You are responsible for all activity under your account.
You must be at least 13 years old to create an account.

Account Termination

You may delete your account at any time.
We may suspend or terminate accounts that violate these Terms.
We may remove content that violates these Terms.

4. Service Description

SpinDine provides restaurant recommendations based on:

Your location
Your preferences and filters
Available restaurant data

Limitations

Restaurant information may not always be accurate.
Availability depends on third-party data sources.
We do not guarantee restaurant quality or service.
We are not responsible for your dining experiences.

5. User Content & Conduct

By using SpinDine, you agree to:

Use the App lawfully and respectfully.
Not submit false or misleading information.
Not attempt to manipulate the App.
Not use the App to harass or harm others.

Content License

Any content you submit (favorites, preferences, etc.) grants us a worldwide, royalty-free license to use, process, and analyze it for improving our services.

6. Intellectual Property

Our Property

SpinDine name, logo, and design are our trademarks.
All App content is protected by copyright.
You may not use our intellectual property without permission.

Third-Party Content

Restaurant names and logos belong to their owners.
We display third-party content under fair use.
Map data is provided under third-party licenses.

7. Disclaimers

THE APP IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.

We do not guarantee:

Continuous, uninterrupted service
Accuracy of restaurant information
Availability of specific restaurants
Fitness for any particular purpose

Restaurant information (hours, prices, availability) may change.
Always verify information with restaurants directly.

8. Limitation of Liability

To the maximum extent permitted by law:

We are not liable for indirect, incidental, or consequential damages.
Our total liability shall not exceed USD 100.
We are not responsible for third-party services or content.
We are not liable for your restaurant choices or experiences.

9. Indemnification

You agree to indemnify and hold harmless Silex R, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

Your use of the App
Your violation of these Terms
Your violation of any rights of another
Your content or activities

10. Privacy

Your use of SpinDine is also governed by our Privacy Policy.
By using the App, you consent to our collection and use of information as described therein.

We may use aggregated, anonymized data for:

Business analytics
Service improvements
Marketing insights
Partnership opportunities

11. Modifications

To the Service
We may modify, suspend, or discontinue the App at any time without notice.

To these Terms

12. Advertising

SpinDine displays third-party advertisements. By using the App, you agree to:

View advertisements as part of the service.
Not interfere with ad display.
Understand we don’t endorse advertised products.

Ad blocking may result in reduced functionality or account termination.

13. Governing Law

These Terms are governed by the laws of the United States and the State of California, without regard to conflict-of-law principles.
Any disputes shall be resolved in the courts of California.
